These Terms and Conditions (the "Terms") govern your access to and use of www.t3cp.com, including its pages, content, features, forms, calculators, and links (collectively, the "Site"). The Site is operated by T3 Capital, LP ("T3 Capital," "T3," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Site.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site. If you access or use the Site on behalf of a company, trust, partnership, fund, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes both you and the entity.

2. Changes to These Terms or the Site

We may update these Terms periodically. When we do, we will revise the "Last Updated" date above. Changes become effective when posted unless a later date is stated. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.

We may modify, suspend, restrict, or discontinue any part of the Site at any time, with or without notice. We are not liable for any modification, suspension, interruption, or discontinuation of the Site, except where applicable law provides otherwise.

3. Informational Purposes Only; No Offer or Solicitation

The Site is provided solely for general informational and educational purposes. Nothing on the Site constitutes or should be construed as:

  • An offer to sell or a solicitation of an offer to buy any security, investment interest, financial instrument, property, or service;
  • A recommendation or endorsement of any investment, security, strategy, transaction, or issuer;
  • Investment, financial, legal, tax, accounting, or other professional advice;
  • A guarantee of any investment result, tax outcome, distribution, return, or liquidity event; or
  • A commitment by T3 Capital or any affiliated entity to enter into any transaction or accept any person as an investor.

Any offering of securities or investment interests will be made only through definitive offering and subscription documents, and only to persons who satisfy applicable eligibility requirements. Those documents may include a private-placement memorandum, operating or partnership agreement, subscription agreement, risk disclosures, and related materials (collectively, "Offering Documents").

You should rely only on the applicable Offering Documents when evaluating an investment. If information on the Site conflicts with Offering Documents or another signed agreement, the Offering Documents or signed agreement will control.

No securities commission or regulatory authority has approved or disapproved any information on the Site or passed upon its accuracy or completeness. Investment opportunities may not be available in all jurisdictions or to all investors. Nothing on the Site is intended as an offer or solicitation where doing so would be unlawful.

4. Investment Risks

All investments involve risk. Real estate and private investment interests may be speculative, illiquid, leveraged, subject to market and operational risks, and suitable only for investors who can bear the loss of some or all invested capital. There can be no assurance that an investment objective, targeted return, distribution, refinancing, sale, tax benefit, or other anticipated result will be achieved.

T3 Capital does not undertake to determine whether any investment is suitable or appropriate for you based solely on your use of the Site or submission of an inquiry.

5. Hypothetical Information, Calculators, and Targeted Results

The Site may include investment calculators, projected returns, targeted internal rates of return, equity multiples, estimated distributions, tax illustrations, depreciation examples, hold periods, or other hypothetical information. This information is illustrative only and is based on assumptions that may not occur.

Hypothetical and targeted results:

  • Do not represent the actual or guaranteed performance of any investment;
  • May not reflect all fees, expenses, taxes, timing differences, market conditions, financing terms, reserves, capital needs, or risks;
  • May be based on simplified assumptions selected for illustration;
  • Do not account for your individual financial or tax circumstances; and
  • May differ materially from actual results.

You should not make an investment or tax decision based on a calculator, projection, estimate, or illustration appearing on the Site.

The Site may contain forward-looking statements, including statements regarding plans, objectives, strategies, opportunities, market conditions, financing, operations, acquisitions, dispositions, development, occupancy, revenue, expenses, distributions, returns, tax benefits, or future performance.

8. No Advisory, Fiduciary, or Other Relationship

Your use of the Site, receipt of Site content, submission of an inquiry, or communication with T3 Capital does not create an investment-advisory, fiduciary, brokerage, client, partnership, joint-venture, agency, employment, or other professional relationship.

No confidential, fiduciary, or advisory relationship is created unless and until it is expressly established in a written agreement signed by T3 Capital. Information you submit is handled as described in our Privacy Policy and any other applicable written agreement.

9. Investor Portal and Third-Party Services

The Site may provide access or links to third-party services, including AppFolio Investment Management or another investor portal. The portal and other third-party services are operated under their own terms, privacy policies, security practices, and availability standards. Your use of those services may require you to enter into separate agreements with the applicable provider.

T3 Capital does not control and is not responsible for the operation, availability, content, security, or privacy practices of third-party services. These Terms do not replace any Offering Documents, portal terms, subscription agreement, or other agreement governing your investment or account.

10. Accounts and Security

Certain services may require registration or account credentials. You agree to provide accurate, current, and complete information and to update it when necessary. You are responsible for maintaining the confidentiality of your username, password, authentication codes, and other credentials, and for activity conducted through your account.

You may not share credentials with unauthorized persons or attempt to access another person’s account. Notify us promptly at invest@t3cp.com if you suspect unauthorized access, loss of credentials, or a security incident involving your account. We may suspend or restrict access when we reasonably believe it is necessary to protect the Site, an account, T3 Capital, an investor, or another person.

11. Privacy and Cookies

Our collection and use of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference. The Site may use cookies and similar technologies for functionality, security, analytics, personalization, and marketing as described in that policy.

Do not transmit Social Security numbers, tax forms, government identification, banking instructions, or other sensitive information through ordinary email or the Site’s public forms unless T3 Capital has specifically directed you to use an approved secure method.

12. Ownership and Intellectual Property

The Site and its content—including text, graphics, photographs, videos, data, reports, designs, logos, trademarks, service marks, trade names, software, calculations, page layouts, and other materials (collectively, "Content")—are owned by or licensed to T3 Capital and are protected by copyright, trademark, trade-secret, and other intellectual-property laws.

Subject to these Terms, T3 Capital grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and to download or print reasonable portions of the Content solely for your personal, noncommercial evaluation of T3 Capital and potential investment opportunities. This license does not transfer any ownership rights.

Except as expressly permitted in writing by T3 Capital, you may not copy, reproduce, republish, modify, adapt, translate, distribute, transmit, display, sell, license, create derivative works from, commercially exploit, or otherwise use the Site or Content. You may not remove or alter copyright, trademark, or other proprietary notices.

"T3 Capital" and associated names, logos, designs, and slogans are trademarks or service marks of T3 Capital or its affiliates. No license to use any mark is granted by these Terms.

13. Acceptable Use

You agree not to:

  • Use the Site for unlawful, fraudulent, deceptive, defamatory, abusive, or harmful purposes;
  • Violate any applicable law, regulation, contractual obligation, intellectual-property right, privacy right, or other right;
  • Submit false, misleading, inaccurate, or incomplete information;
  • Impersonate another person or misrepresent your identity, authority, or affiliation;
  • Upload or transmit malware, viruses, harmful code, or materials designed to disrupt or compromise systems;
  • Interfere with the Site, its servers, networks, security measures, or another user’s access;
  • Attempt to gain unauthorized access to any account, system, data, or restricted area;
  • Scrape, crawl, index, harvest, data-mine, or systematically download Site content using automated means without our written permission;
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of Site software, except where applicable law expressly permits it;
  • Use Site content to train, develop, test, or improve an artificial-intelligence or machine-learning system without our prior written consent;
  • Frame, mirror, or reproduce the Site in another website or service without our written permission;
  • Send spam, unauthorized promotions, or unsolicited commercial messages through the Site; or
  • Assist another person in engaging in prohibited conduct.

We may investigate suspected violations and cooperate with law-enforcement authorities or regulators where appropriate.

14. Information and Materials You Submit

You represent that information you provide through the Site is accurate and that you have the right to provide it. You retain ownership of materials you submit.

To the extent necessary to respond to your request, evaluate a potential relationship, operate the Site, or provide the Services, you grant T3 Capital and its service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and otherwise use submitted materials. This license ends when the material is no longer reasonably needed, subject to legal, regulatory, backup, and record-retention requirements.

Unless we have entered into a written confidentiality agreement with you, unsolicited business proposals, ideas, concepts, or other materials submitted through the Site will not be treated as confidential or proprietary. This provision does not change our obligations under the Privacy Policy or any applicable law.

15. Third-Party Links and Content

The Site may contain links to third-party websites, resources, social networks, or content. Links are provided for convenience and do not imply endorsement, sponsorship, or control. T3 Capital is not responsible for the availability, accuracy, security, content, products, services, or practices of third parties. Your use of third-party services is at your own risk and subject to the third party’s terms and policies.

16. Accuracy and Availability

We seek to provide useful information, but we do not warrant that the Site or Content is accurate, complete, current, reliable, uninterrupted, secure, or error-free. Information may become outdated, and T3 Capital has no obligation to update it except as required by law.

The Site may contain technical, typographical, factual, or other errors. We may correct errors, change information, or remove Content at any time without notice. Nothing on the Site should be relied upon as the sole basis for an investment, financial, legal, tax, accounting, or business decision.

17. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, FEATURES, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

T3 CAPITAL AND ITS AFFILIATES, FUNDS, INVESTMENT VEHICLES, SERVICE PROVIDERS, LICENSORS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, PARTNERS, MEMBERS, EMPLOYEES, REPRESENTATIVES, AND AGENTS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, T3 CAPITAL AND ITS AFFILIATES, FUNDS, INVESTMENT VEHICLES, SERVICE PROVIDERS, LICENSORS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, PARTNERS, MEMBERS, EMPLOYEES, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITY; INVESTMENT LOSSES; OR OTHER DAMAGES ARISING FROM OR RELATED TO THE SITE, CONTENT, THESE TERMS, OR YOUR ACCESS TO OR USE OF—or INABILITY TO ACCESS OR USE—THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF T3 CAPITAL AND THE OTHER RELEASED PARTIES FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID T3 CAPITAL, IF ANY, SPECIFICALLY TO ACCESS THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be excluded or limited. Nothing in these Terms limits any rights or remedies available under applicable Offering Documents or another written agreement governing an investment.

19. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless T3 Capital and its affiliates, funds, investment vehicles, service providers, licensors, and their respective directors, officers, partners, members, employees, representatives, and agents from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Your unlawful or unauthorized use of the Site;
  • Your material violation of these Terms;
  • Information or materials you submit through the Site; or
  • Your infringement or violation of another person’s rights.

T3 Capital reserves the right to control the defense and settlement of any matter subject to indemnification. You agree to provide reasonable cooperation. You may not settle a matter in a way that imposes liability or obligations on an indemnified party without that party’s prior written consent.

20. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Site if we reasonably believe you violated these Terms, created a security or legal risk, or used the Site in a way that may harm T3 Capital or another person. Upon termination, your right to use the Site ends immediately.

Provisions that by their nature should survive termination—including those addressing investment disclaimers, intellectual property, warranty disclaimers, limitations of liability, indemnification, governing law, and miscellaneous matters—will survive.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Subject to any mandatory rights provided by applicable law, any legal action or proceeding arising from or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in Dallas County, Texas. You and T3 Capital consent to the personal jurisdiction and venue of those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

22. Miscellaneous

These Terms and the Privacy Policy constitute the entire agreement between you and T3 Capital regarding use of the Site, except that Offering Documents, portal terms, or another signed agreement will govern their respective subject matter.

If a provision of these Terms is held unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. T3 Capital may assign these Terms in connection with a reorganization, merger, acquisition, financing, transfer of assets, or by operation of law.

Headings are for convenience only and do not affect interpretation. These Terms do not create third-party beneficiary rights except where expressly stated. Electronic communications and records may be used in connection with the Site and will have the same effect as written communications where permitted by law.
